Corporate Governance & New Companies Act

Companies Act 2008

The New Companies Act imposes high professional standards and severe punishment for wayward directors and managers. Directors will have to be evaluated regularly, may be placed under probation or may be declared delinquent and be debarred for life from taking directorships.

The stringent discipline of the Act deters negligent and reckless trading.         
Even after a director has left a company, he may be held liable for decisions taken during his tenure. Directors may be ordered to personally pay compensation to the aggrieved parties. King 111 requires a comprehensive report on sustainability, social, equity, broad based black economic empowerment and environmental issues.
